Terms of Use and Sale

Last updated: October 27, 2026

These terms govern your use of the ProvisoIQ website and everything you download or buy from it. Please read them before you use the Site or buy a Product.

1. Who we are and what these terms cover

1.1 The Site at provisoiq.com and its subdomains is operated by Proviso Inc., a California corporation, doing business as ProvisoIQ ("Proviso," "we" or "us"). You can reach us at [email protected].

1.2 "You" means the person using the Site or buying a Product, and, where you buy for an organization, that organization as well. If you accept these terms for an organization, you confirm that you are authorized to bind it.

1.3 "Site" means provisoiq.com, its subdomains (including newsletter.provisoiq.com) and any page we publish under the ProvisoIQ name. "Content" means everything we make available on the Site, free or paid, including text, prompts, templates, playbooks, checklists, worked examples, exercises, videos and tools. "Product" means any Content you buy or license from us, including packs, bundles, agent kits, plugin playbooks, licenses, courses, workshops and subscriptions.

1.4 By using the Site or buying a Product, you agree to these terms. If you do not agree, please do not use the Site.

2. Information and tools, not legal advice

2.1 Proviso provides legal information and tools. Proviso is not a law firm, does not provide legal advice or legal services, and is not a substitute for the advice of a lawyer who knows your facts.

2.2 Using the Site, buying a Product or contacting us does not create an attorney-client relationship with Proviso or with anyone who writes for Proviso. Do not send us confidential information about a client or a matter.

2.3 Products that draft or review legal text are for use by, or under the supervision of, licensed legal professionals. If you are not a lawyer, a Product can help you prepare, but a lawyer should review anything that matters to your legal position.

3. Your review duties

3.1 AI tools can produce errors, including invented facts, missed terms and wrong citations. You are responsible for reviewing every output before you rely on it, send it or sign it, and for the professional judgment you apply to it.

3.2 You are responsible for deciding whether your use of an AI tool is permitted by your employer, your clients, your professional rules and the tool's own terms, and for the information you put into it. Our Products are designed to be used without client or matter information wherever possible; where a task needs it, follow your organization's rules on confidentiality and data handling.

4. Purchases

4.1 Product sales are processed by our reseller and merchant of record, currently Lemon Squeezy (and, where we offer it, Paddle). The merchant of record is the seller of record for your payment, handles payment, tax and invoicing, and its own terms apply to the payment. Our license to you, and the rest of these terms, apply to the Product itself.

4.2 Prices are shown on each product page, in U.S. dollars unless stated otherwise, and exclude any tax the merchant of record adds at checkout. We may change prices for future purchases at any time.

4.3 Subscriptions renew automatically at the end of each period until you cancel. You can cancel at any time through the link in your receipt or account, and cancellation takes effect at the end of the period already paid.

4.4 Paid newsletter subscriptions are managed through Ghost and paid through Stripe.

5. Your license

5.1 When you download free Content or buy a Product, we grant you a non-exclusive, non-transferable license to use it for your own work, or your organization's internal work, under these terms. Free Content may also be shared with colleagues by sharing a link to it, and Content we release under an open license (marked on the item) may be shared under that license.

5.2 A single-user Product may be used by one person. A team or firm license covers up to ten named users in one organization, and a department or firm-wide license covers every user in the department or firm named in the order. Users may be replaced when someone leaves, but a license may not be shared beyond its users.

5.3 You may adapt a Product for your own work, for example by adding your own positions to a playbook. You may not:

5.4 Section 13 sets out the separate client distribution license for law firms and legal consultants.

6. Acceptable use

You may not use the Site to break the law, infringe anyone's rights, upload malicious code, interfere with the Site's operation, attempt to gain unauthorized access, or misrepresent your identity or your connection with Proviso. We may suspend or end access for anyone who breaches these terms.

Purchase and program terms

7. Refunds

7.1 You may request a full refund of the price paid for a Product within 30 days after the date of purchase, for any reason, by writing to [email protected]. For a subscription, this applies to the first payment only; you may cancel later renewals at any time, and cancellation takes effect at the end of the period already paid.

7.2 A refund is not available for a Product that Proviso has previously refunded to you or to your organization.

7.3 When a refund is made, your license to that Product ends. You must stop using the Product and delete all copies in your possession or control, and any upgrade credit or referral credit arising from that purchase is canceled.

8. Upgrade credit

8.1 If, within 90 days after purchasing a single pack or a practice-area pack, you purchase a larger pack, the all-packs bundle or a team license, Proviso will credit the full price you paid for the earlier pack against the new purchase.

8.2 Upgrade credit applies only to purchases made by the same buyer or organization, can be applied once for each earlier purchase, has no cash value, cannot be transferred and does not apply to a purchase that has been refunded.

8.3 Only one credit applies to any purchase. Where a purchase qualifies for more than one credit, such as an upgrade credit, a bundle credit toward a paid tier or a referral reward, Proviso applies the largest, and the others remain available for a later purchase until they expire.

9. Referral program

9.1 If you refer someone who has not previously purchased from Proviso and that person completes a qualifying purchase using your referral link, Proviso will issue you the referral reward stated on the referral page, and the person you referred will receive the first-purchase discount stated there.

9.2 The referral reward is issued after the refund period for the qualifying purchase has ended without a refund. Referral rewards and discounts are product credits only, issued without charge; they have no cash value, cannot be transferred or exchanged for money, and expire 12 months after issue.

9.3 You may share your referral link only with people you know or through your own posts. If you share it publicly, you must disclose clearly that you receive a reward if someone buys through your link. You may not refer yourself, use paid advertising that bids on Proviso's name, send unsolicited bulk messages, or create accounts to obtain rewards.

9.4 Proviso may change or end the referral program at any time by updating the referral page. Rewards already issued remain valid until they expire. Proviso may withhold or cancel a reward obtained in breach of this section.

10. Testing statements

10.1 Where a Product or page states that it was "tested" on a named AI model, that statement means that Proviso ran the Product's test set on that model on the date shown and that the results met Proviso's published release standard on that date. It is a statement of what Proviso did on that date only.

10.2 AI models change without notice, and the same input can produce different output. Proviso does not warrant that any Product will produce any particular output, or output free of errors, on any model or on any date. You remain responsible for reviewing every output before relying on it.

10.3 Proviso records retests and their results in the update log at https://provisoiq.com/update-log/. The update log, as it stands at the time, governs over any earlier testing statement.

10.4 Where a page states a time result from our timed tests, it describes the median result of the runs stated, on the documents, model and date stated. Your time will depend on your documents, your tool and how you work.

11. Submissions

11.1 You may submit examples, corrections and other material to Proviso, including entries for the mistakes gallery ("Submissions"). Each Submission must be based on facts you have made up or fully anonymized. It must not contain confidential information, client or matter information, personal data about anyone else, or material you do not have the right to share.

11.2 You keep ownership of your Submission. You grant Proviso a worldwide, non-exclusive, royalty-free, perpetual and irrevocable license to use, edit, adapt, publish and distribute the Submission, in any medium, as part of the Site and Proviso's Products and promotion, and to sublicense these rights to Proviso's service providers for that purpose.

11.3 Proviso may edit, decline or remove any Submission at its discretion and owes no payment for any Submission. Where Proviso publishes a Submission, it will credit you by the name you choose on the submission form, or not at all if you choose to remain anonymous.

11.4 You confirm that each Submission complies with section 11.1 and that its publication will not infringe anyone's rights.

12. Feedback

If you give Proviso suggestions, ratings or comments about the Site or the Products ("Feedback"), Proviso may use the Feedback for any purpose without obligation to you. Feedback is not a Submission and is not published with your name.

13. Client distribution license

13.1 A law firm or legal consultant that buys a client distribution license ("Licensee") may copy and give the licensed Products to its own clients, for their internal use only, during the license term and within the client numbers stated in the order.

13.2 Licensee must keep the Proviso attribution, the testing statement and the notice that the Products are information and tools and not legal advice on every copy. Licensee may add its own name and may adapt a Product for a client, provided any adapted version is marked as adapted by Licensee.

13.3 Licensee may not resell the Products as a standalone product, make them publicly available, or use them to train or build any AI system or competing product.

13.4 Licensee is solely responsible for its advice and services to its clients, including any use of the Products in that work, and for compliance with its own professional obligations. Proviso has no relationship with Licensee's clients and provides no services to them. Licensee will indemnify Proviso against claims by Licensee's clients arising from Licensee's advice or services, or from an adapted version of a Product.

14. Certificates of completion

14.1 Proviso may issue a certificate of completion to a person who completes a course or workshop. The certificate confirms only that the person completed it. It is not a credential, license, qualification or statement of competence, and it does not confirm continuing legal education credit unless the course page states that credit has been approved by the relevant authority.

14.2 You may not describe a certificate as anything other than a confirmation of completion. Proviso may withdraw a certificate obtained or used in breach of this section.

General terms

15. Ownership

Proviso and its licensors own the Site and the Content, including all copyright and trademarks. Except for the license in section 5, these terms give you no rights in them. ProvisoIQ and ProvisoEQ are names used by Proviso Inc.

16. Third-party tools and links

Our Products are used in AI tools and other services that we do not provide or control, and their own terms and privacy practices apply to your use of them. Links to other sites, including disclosed affiliate links, are provided for convenience, and we are not responsible for those sites.

17. Disclaimers

17.1 Except as stated in these terms, the Site and the Content are provided "as is" and "as available." To the extent the law allows, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. Express statements in these terms, including the refund in section 7, are not affected.

17.2 We work to keep Content accurate and current, and we correct errors under our Editorial and Corrections Policy, but laws, guidance and AI tools change and we cannot promise that any Content is complete or current for your situation.

18. Limitation of liability

18.1 To the extent the law allows, Proviso is not liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profits, revenue, data, goodwill or business opportunity, arising from the Site or the Content.

18.2 To the extent the law allows, Proviso's total liability arising from the Site and the Content is limited to the greater of the amount you paid Proviso in the 12 months before the claim arose and $100.

18.3 Nothing in these terms limits liability that cannot be limited by law, including liability for fraud or, for consumers in the EU and U.K., for death or personal injury caused by negligence.

19. Your indemnity

You will indemnify Proviso against claims by third parties arising from your breach of these terms, from your Submissions, or from advice, services or documents you provide to others using the Content.

20. Ending access

You may stop using the Site at any time. We may suspend or end your access, or your license to a Product, if you materially breach these terms. Sections 2, 3, 10, 11, 12 and 15 to 23 continue after access ends.

21. Governing law and disputes

21.1 These terms are governed by the laws of the State of California, without regard to its conflict of laws rules.

21.2 The state and federal courts located in San Diego County, California, have exclusive jurisdiction over any dispute arising from these terms or the Site.

21.3 If you are a consumer in the EU or the U.K., you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim in the courts of that country.

22. Changes to these terms

We may update these terms by posting a new version on this page with a new "Last updated" date. Changes apply to purchases and use after the date posted. A change to the license or refund terms does not apply to a Product bought before the change.

23. General

If any provision of these terms is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these terms without our consent; we may transfer ours to a successor to our business. These terms, with any order form for a license, are the whole agreement between you and Proviso about the Site and the Content.
