Worked example
The renewal notice window is about to close, and nobody has read the terms
AI can pull the renewal terms out of a vendor agreement in one pass, with no blank page. This example shows where the output went wrong on dates, notice and price, and the corrected version.
All documents and facts on this page are invented. This is legal information, not legal advice; review every output before relying on it.
The situation
Finance has asked whether the company can drop a software subscription next year. The order started on 1 March, the contract sits in a shared folder, and you are the person expected to know the answer by Friday.
The document (invented excerpt)
SUBSCRIPTION TERMS EXCERPT
SUBSCRIPTION TERMS (excerpt) 8.1 Term. The initial Subscription Term is twelve (12) months from the Order Effective Date. Thereafter, each Order renews automatically for successive renewal terms equal to the initial term, unless either party gives written notice of non-renewal at least ninety (90) days before the end of the then-current term. 8.2 Fees on Renewal. Vendor may increase Fees for any renewal term by providing notice to Customer. Unless otherwise stated in the Order, any increase will not exceed the greater of seven percent (7%) or the percentage increase in CPI-U for the prior twelve months. 8.3 Termination for Convenience. Customer may not terminate an Order for convenience during a Subscription Term. 14.2 Notices. Notices to Vendor must be sent to [email protected] and by courier to the address on the Order. Notices are effective on receipt.
The prompt
PROMPT
I am in-house counsel. Our company's order under these subscription terms started on 1 March. We are not sure we will keep the product next year. From the excerpt below, tell me: when the order renews, the last day to send a non-renewal notice, how notice must be given, how much the price can rise on renewal, and whether we can terminate early. Quote the clause language for each answer. Show any date calculation step by step. [paste the excerpt]
The output
ILLUSTRATIVE OUTPUT DRAFTED WITH CLAUDE, 26 OCTOBER 2026, TO SHOW TYPICAL ERRORS; NOT A RECORDED TEST RUN
Renewal: The order renews automatically on 1 March next year for another twelve months (8.1). Last day for non-renewal notice: 1 December, which is ninety days before 1 March (8.1). How to give notice: In writing, by email to [email protected] (14.2). Price increase: Up to seven percent on renewal (8.2). Early termination: Not permitted for convenience during a term (8.3).
What it got wrong
THREE ERRORS
1. The date is counted from the wrong day. Notice must be given "at least ninety (90) days before the end of the then-current term", and the term ends at the end of the last day of February, not on 1 March. Counting back ninety days from 28 February gives 30 November (1 December only when February has 29 days). The output also skipped the step-by-step calculation the prompt asked for, which would have shown the error. 2. Notice must go by email and by courier to the address on the Order. The output names only the email, which would leave the notice open to challenge. 3. The cap is the greater of seven percent or the CPI-U increase, so it can be more than seven percent in a high-inflation year. The output states seven percent as the ceiling.
Date arithmetic and notice mechanics are where AI summaries of renewal terms most often slip. The summary reads cleanly, and a missed notice window locks the company in for another year.
The corrected version
CORRECTED SUMMARY
Renewal (8.1): "each Order renews automatically for successive renewal terms equal to the initial term". The current term ends at the end of the last day of February, and the renewal term starts 1 March. Last day for notice (8.1): "at least ninety (90) days before the end of the then-current term". The term ends on the last day of February. Counting back: 28 days to 31 January, 31 more to 31 December, 31 more to 30 November, which is ninety days. Notice must be received by 30 November (1 December in a year when February has 29 days). Because notice is "effective on receipt", send it in early November. How to give notice (14.2): "by email to [email protected] and by courier to the address on the Order"; "effective on receipt". Use both methods and keep proof of delivery. Price increase (8.2): "the greater of seven percent (7%) or the percentage increase in CPI-U", unless the Order says otherwise. Check the Order for a different cap. Early termination (8.3): "Customer may not terminate an Order for convenience during a Subscription Term." Non-renewal is the only exit without cause.
What to check every time
- Recalculate every deadline yourself, from the exact words that set its starting point.
- Read the notices clause and list every method it requires.
- Check price caps for "greater of" and for overrides in the order form.
