Time of the essence
Legal information, not legal advice. How a phrase is read depends on the governing law and the rest of the agreement.
"Time is of the essence" makes a deadline a condition of the contract rather than a target. If a party misses a deadline that is of the essence, the other party may be able to terminate or refuse performance, rather than only claim damages for the delay.
The phrase reflects an old divide in English law. Courts of common law treated stated dates strictly, while courts of equity were willing to enforce contracts despite late performance if the delay caused no real harm. The phrase became the drafter's way of telling a court that the parties meant the date to be strict.
Its effect depends on the governing law and the type of contract. In sales of goods under the Uniform Commercial Code, buyers already have strong rights to reject late or nonconforming delivery, and the phrase adds less. In real estate and some services contracts, it can decide whether a short delay ends the deal. A general statement that time is of the essence for "all obligations" may also be read narrowly, or waived by the parties' later conduct.
Precise drafting names the obligations to which time is of the essence, such as the closing date or a payment date, and states what happens if they are missed. Avoid applying it to every obligation, which makes trivial delays potential grounds for termination and invites argument about waiver.
A buyer under a commercial lease or a property purchase may rely on the phrase to walk away if the seller does not deliver documents by the closing date. If the same buyer then keeps negotiating after the date passes, a court may find that the strict deadline was waived, and a reasonable time for performance applies instead.
A party that wants to keep the deadline strict after a delay should say so in writing, and set a new firm date if it chooses to allow more time. Silence and continued dealing are what usually cost a party the right.
Notice clauses matter here too. Where the contract allows a party to make time of the essence by notice, the notice must follow the contract's method and give a reasonable period, or it may not have the intended effect.
When reviewing with AI, ask which dates in the agreement are of the essence and what the remedy is for missing each one. Then check the governing law clause, since the same words can carry different weight under different laws.
