Guides / AI prompts for contract review
The AI read the contract in a minute. Did it read the schedules?
Five prompts that take a contract from first read to reply, each built so the answer quotes the contract and can be checked against it.
Every prompt below asks the AI to quote the words it relies on and to say where it is unsure, because that is what makes the answer quick to check. New to prompts? Read Your first prompt first.
Key terms table
Use first, to see the shape of the deal.
From the attached agreement, return a table: Term | Clause number | Quoted text. Terms: parties, effective date, term, renewal, termination rights, notice period, fees, payment terms, liability cap, indemnities, governing law, assignment. Write "not found" where the agreement is silent. Do not infer.
What to check: Terms marked "not found" that sit in a schedule or a document incorporated by reference.
Test status: test pending. Results will appear in the update log.
Departures from your positions
Use when you have written positions or a playbook.
Review the attached agreement against our positions below. We are the [SIDE]. For each clause that departs, return: Clause | Quoted text | Our standard | Fallback we could accept | Departure | Risk. List clauses that match our standard separately, in one line each. [PASTE YOUR POSITIONS OR PLAYBOOK]
What to check: Ratings that reflect a general view rather than your positions, and clauses listed as matching that you have not checked.
Test status: test pending. Results will appear in the update log.
Dates, renewals and notice windows
Use for the renewal register or a calendar.
List every date, period and deadline in the attached agreement: start and end dates, renewal terms, notice periods, cure periods, payment terms and any automatic renewal. For each, give the clause number, the quoted text and the date it falls on if [START DATE] is the start date. Flag any automatic renewal and the last day to give notice.
What to check: Business days counted as calendar days, and notice windows calculated from the wrong date.
Test status: test pending. Results will appear in the update log.
Missing protections
Use when the contract is on the other side's paper.
We are the [SIDE] in this [TYPE] agreement. List protections a party in our position would usually expect that this agreement does not contain, for example a liability cap, data protection terms, termination for convenience or service levels. For each, say why it matters and quote the closest clause, if any.
What to check: Protections listed as missing that appear under another heading.
Test status: test pending. Results will appear in the update log.
Reply wording for the points you contest
Use after you have chosen which points to push back on.
For each clause below, draft reply wording to send to the other side: our requested change as minimum-change drafting (show only the words to add or delete), and one sentence of reasoning. Do not add points I have not listed. [CLAUSE NUMBERS AND OUR POSITION ON EACH]
What to check: Redrafting that changes more than it needs to, and reasons that concede your fallback early.
Test status: test pending. Results will appear in the update log.
